Vorys attorneys regularly represent financial institutions and institutional lenders in all types of financing transactions.  We regularly assist our clients in connection with single lender and syndicated transactions, both domestic and cross-border.  Representative transactions include asset-based and structured finance transactions, leveraged cash flow transactions, acquisition financing transactions, second lien and mezzanine financing transactions, note purchase transactions, receivables financing and factoring transactions, aircraft financings and equipment leasing.  We also regularly advise financial institutions on derivatives matters, including Dodd-Frank regulatory matters, ISDA protocols and preparation of ISDA documentation. 

Vorys advises companies, both public and private, and other non-financial entities in connection with their financing needs.  We review and negotiate all aspects of financing facilities, including working capital, long term and acquisition financing, private placements, securitizations and structured finance products.  We also have extensive experience in compliance and reporting issues and local tax incentive programs.
